Terms & Conditions

These terms form a binding agreement between ZeroPay Gateway and the merchant using the platform.

1. Acceptance

By creating an account, connecting a store or using any part of the ZeroPay Gateway platform (the “Platform”), you agree to these Terms, our Privacy Policy, the Acceptable Use Policy and the Refund & Cancellation Policy. If you do not agree, do not use the Platform.

2. Nature of the service

The Platform is a technology service that relays order information between a merchant's Shopify store, WhatsApp Business account and payment aggregator. ZeroPay is not a bank, Payment Aggregator, Payment Gateway settling funds, or Payment System Operator, and does not hold, pool or route customer money. All collections are settled by the merchant's RBI-authorised payment partner into the merchant's own account.

3. Eligibility

  • You must be at least 18 years old and legally capable of contracting.
  • You must operate a lawful business in India with valid registrations, and where required, GST registration.
  • You must be onboarded and KYC-verified by your payment aggregator before collecting payments.

4. Merchant accounts and credentials

You are responsible for the accuracy of the Shopify, WhatsApp and PhonePe credentials you supply, for keeping your login secure, and for all activity under your account. We store integration secrets encrypted, but you must rotate any credential you believe has been exposed and notify us promptly.

5. Permitted and prohibited use

  • Use the Platform only for genuine sales of goods or services you supply.
  • Do not use it for gambling, unlawful goods, unregistered financial services, crypto trading, adult content, weapons, narcotics, counterfeit goods, multi-level marketing or collections on behalf of unrelated third parties.
  • Do not attempt to bypass stock validation, spoof callbacks, reverse engineer the Platform, or send unsolicited marketing to customers who contacted you for an order.

6. Fees

ZeroPay charges no percentage commission on transactions. Platform fees, where applicable, are as shown on the Pricing page and are exclusive of GST. Bank, UPI, aggregator and Shopify charges are governed by your separate agreements with those providers.

7. Third-party services

The Platform depends on Shopify, Meta/WhatsApp and PhonePe APIs. Changes, outages, rate limits or account actions by those providers may interrupt the service. We are not responsible for the acts or omissions of third-party providers.

8. Availability and support

We aim for continuous availability but do not guarantee uninterrupted service. Maintenance may be scheduled with reasonable notice. Support is provided over email during Indian business hours.

9. Suspension and termination

We may suspend or terminate access without notice where we reasonably suspect fraud, money laundering, breach of these Terms, regulatory direction, or risk to customers. You may close your account at any time; obligations accrued before closure survive.

10. Liability

To the maximum extent permitted by law, ZeroPay is not liable for indirect, incidental or consequential loss, loss of profit, goodwill or data. Our aggregate liability for any claim is limited to the platform fees paid by you in the three months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

11. Indemnity

You will indemnify ZeroPay against claims arising from your products, your customer communications, your tax and regulatory non-compliance, or your breach of these Terms.

12. Changes

We may update these Terms. Material changes will be notified by email or in the dashboard. Continued use after the effective date constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of India. Courts at the location of ZeroPay's registered office have exclusive jurisdiction, subject to any consumer rights available to you under law. Complaints should first be raised through Grievance Redressal.
